**INDEMNITY AND HOLD HARMLESS AGREEMENT**
This Indemnity and Hold Harmless Agreement (“Agreement”) is made and entered into, by and between:

(Hereinafter referred to as the "Dojo")
**WHEREAS**, the Participant acknowledges that participation in martial arts and combat sports involves inherent risks of injury, including but not limited to, physical injury, psychological injury, and in some cases, death, and that such risks may arise from the nature of the activities, the actions or inactions of the Participant, and the actions or inactions of others, including but not limited to, instructors, students, and spectators.
**NOW, THEREFORE**, in consideration of the use of the facilities and participation in the activities at the Dojo, the Participant agrees as follows:
1. **Assumption of Risk**: The Participant voluntarily acknowledges and accepts all risks associated with participation in martial arts and combat sports. The Participant affirms that they are in good health and are capable of participating in these activities.
2. **Indemnification**: The Participant agrees to indemnify, defend, and hold harmless the Dojo, its employees, agents, and the Shiloah building as a whole from any and all claims, demands, actions, and causes of action, including but not limited to, personal injury, property damage, or wrongful death arising out of or in connection with the Participant's participation in activities at the Dojo, whether caused by the negligence of the Dojo or otherwise.
3. **Release of Liability**: The Participant hereby releases and discharges the Dojo, its employees, agents, and the Shiloah building from any and all liability for any injury, loss, or damage incurred during participation in any activities, whether caused by the negligence of the Dojo or otherwise. The Participant understands that this release is binding on their heirs, assigns, and legal representatives.
4. **Severability**: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
5. **Governing Law**: This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado. The Participant agrees that any disputes arising from this Agreement shall be resolved in the state or federal courts located in Colorado.
6. **Entire Agreement**: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral.
7. **Acknowledgment of Understanding**: The Participant acknowledges that they have read this Agreement, understand its terms, and are signing it voluntarily. The Participant further acknowledges that they are aware that by signing this Agreement, they are waiving certain legal rights, including the right to sue.
